Mr. Maniscalco joined the Loftin Firm in 2009, with focus in business, real estate, and administrative law.

Prior to joining the Loftin Firm, Mr. Maniscalco worked at Apple, Inc., and served as a Vice President and key legal and technical resource in negotiation and litigation at a residential land development company in Orange County and the Inland Empire. He remains on the Board of Directors there.

Mr. Maniscalco is a graduate of Marquette University, and the University of San Diego School of Law. At the University of San Diego, he focused on real estate, corporate, and land use law and represented clients through the Perspectives in Criminal Justice Clinic, and the Land Use Clinic--where he received recognition for top performance. Mr. Maniscalco also worked part-time for a master developer, in the assembly and entitlement of a large planned community involving land use, environmental, and transactional law.

Representative Engagements and Experience:

Land Use/Administrative Applications, Transactions, and Litigation

  • Represent property owners and developers in land use entitlement strategy, application and permitting, negotiation, and satisfaction of conditions;
  • Represent project applicants, property owners, and developers to overcome unlawful or misguided resistance to an entitlement application, including collaboration with project management and engineers in application, negotiation with government staff, preparation of the administrative record, and filing of litigation (generally writs of mandate, actions for regulatory takings, and requests for relief under the Civil Rights Act of 1871);

Corporate, Limited Liability Company, and Partnership Transactions

  • Represent a variety of corporate entities in approval and offering for sale of millions of dollars in securities pursuant to California Department of Business Oversight permits, (formerly the Department of Corporations);
  • Serve as outside general counsel to corporate boards and officers regarding corporate function and governance, regulation of shareholder-to-shareholder securities transfers, asset management, employment matters, fundamental corporate changes including mergers, sales (asset, bulk, and equity buy-out), and relations with vendors (Uniform Commercial Code);
  • Serve as special counsel to entity boards, management, and majority owners relating to fundamental corporate changes including: corporate buy-outs, friendly take-over, asset and bulk sales, debt workout, mergers, and conversions (intrastate, interstate, and interspecies);

Real Estate Law and Litigation

  • Represent land development companies and individual investors in property acquisition strategy, negotiation, and transactional documentation;
  • Represent parties in the drafting, review, and negotiation of deeds, instruments, easements, licenses, joint use agreements, infrastructure connection, improvement, and maintenance agreements;
  • Represent parties in the securing of title insurance, including the negotiation of exceptions with underwriters and removal of defects;
  • Prepare, file, and prosecute quiet title actions and negotiations to resolve clouds on title, encumbrances, adverse possession;
  • Counsel housing cooperative boards, corporate community ownership, and homeowners association boards relating to compliance with state building law, Davis-Stirling Act compliance, corporate and nonprofit law, and state and federal regulatory compliance affecting tax-exempt bonds and government loans; and
  • Represent multifamily property owners in the conversion of rental properties to resident ownership, including strategy for and application to obtain state and local entitlements, lender approval, clearing clouds on title, and preparation of the Bureau of Real Estate (formerly Department of Real Estate) public report application through SRP.
